Subject:Miami Lakes United Soccer Club Multi-Year Agreement

Recommendation:
It is recommended that the Town Council approve the license and use agreement with the Miami Lakes United Soccer Club (“the Club”) for a period of three (3) years, with two (1) year extension options, for use of Miami Lakes Optimist Park and Royal Oaks Park subject to the Town Council's direction on whether the agreement should include a price differential percentage between Residents and Non-Residents for the travel/competitive program and if so, what the differential rate should be.
Background:

Since 2005, the Miami Lakes United Soccer Club f/k/a Miami Lakes Soccer Club has been the Town's recreational and competitive youth soccer program provider. Over the years, the Club has served over 5,000 youth in the Miami Lakes and its surrounding communities. Since its inception, the Town has provided the Club a year to year license and use agreement to utilize Royal Oaks Park and Miami Lakes Optimist Park for its programs. However, in the January 2016 Town Council meeting, the Town Council directed staff to negotiate and finalize a multi-year agreement for review and approval.

With the current agreement term ending May 31, 2016, Town staff entered into discussions with the Club regarding proposed changes to a new multi-year agreement. In addition, staff requested a plan from the Club regarding their proposed programs and services that they plan to provide during the new agreement term. After discussions and review of the Club's proposed plan, a new agreement has been developed with the following revisions and highlights addressing several operational issues from the original year to year agreement:

Section 2.1 The “Term” of this Agreement shall commence on August 1, 2016 and terminate on May 31, 2019 for a three year term.

Section 3.4 Provides for an agreement extension period upon the same terms and conditions for a period not to exceed two (1) year periods, provided that the Club is in good standing with the Town. This includes, but is not limited to, providing a successful program, meeting an averageoutstanding rating or similarin their Quality Assurance Performance Plan, and complying with the requirements of the Agreement.

Section 3.9 Provides for a Quality Assurance Surveillance and Program Evaluation Plan to evaluate Licensee's performance under this Agreement. The QA Plan provides for monitoring all requirements of the Agreement through the use of a combination of the following methods: Scheduled Inspections, Unscheduled Inspections, Participant Surveys, and Validated Customer Complaints.

Section 6.6. Amended to provide for differential registration fees between Residents and Non-residents for each of the Club's programs. Resident means all Town of Miami Lakes & Unincorporated Miami-Dade County Residents. Non-Resident means all Incorporated areas (Cities) & Non-Miami-Dade County Residents

Section 6.8 The Club must develop a parking and transportation plan for all programs and activities

Section 6.10 The Club agrees to encourage Miami Lakes resident participation through target marketing and promotional materials. The Club must provide a marketing and communications plan and inform the Town of all Club marketing and promotional materials for its programs.

Section 6.12. The Club will maintain a minimum of a 50% Resident participation ratio in its recreational programs and a minimum of a 25% Resident participation ratio in its travel and competitive programs through the Agreement term.

Section 6.13. The Club agrees to update its website with relevant and up to date information regarding its programs and activities on a monthly basis.

Section 6.6. Registration fees shall provide for differential pricing between Residents and Non-Residents for each of their recreational programs. The recreational program shall maintain a Non-Resident registration fee that is at a minimum 25% higher than the Resident registration fee through the Agreement term.

During negotiations, the Town proposed a differential fee that would be a minimum of 10% higher for Non-Residents for the travel/competitive program. However, the Club does not want to include this as it could severely impact the participation.

Section 7.3 The Club will adhere to all Town policies and procedures for coaches and youth programs including, but not limited to, the Town's EKG Screening and CPR Training policies.

Section 7.5 The Club shall pay the Town an annual fee of $15,000 paid as follows: $6,000 due December 1; $5,000 due February 1; and $4,000 due April 1 of each Agreement year. This payment is to assist with covering the cost to the Town for volunteer background checks, ID badges, and coaches' certifications, use of concessions, and park maintenance.

Section 7.6. If a tournament is approved by the Town, the Club shall pay the Town a tournament fee of $6,000 in addition to covering all required costs for hosting the tournament.

Section 7.7. The Club agrees to provide a minimum of one (1) in-kind community service hour per registrant (maximum 600 total) annually to the park.

Section 7.8. The Club shall provide each coach, assistant coach, and parent an annual handbook that provides relevant information about the Licensee, Licensee's programs, board members and contact information, meeting schedules, and any other relevant information about the Licensee's activities or programs.

Section 9.14 The Club shall include a privacy policy agreement on its registration forms that specifies what kind of personal data is collected from registrants and what is done with that data. The privacy policy agreement shall be included in any document or website registration application that collects personal information. The sale, transfer, or sharing of personal data from registrants to third parties is prohibited unless agreed to by the registrant.

Section 9.15 The Licensee is expressly prohibited from making the registration in any of Licensee's programs contingent on any third or outside party transaction.

Under the scope of the agreement, the Club will provide youth recreational and travel/competitive soccer programs, operate the food/drink concession stand during club operations, and will have the option of requesting use of the park for tournaments with a proposal addressing all tournament management aspects such as parking and crowd management no later than six months prior to the proposed tournament date.
